Company and acceptance

These Terms govern use of Brownexus, operated by BROWNEXUS COMPANY LLC, a Tennessee limited liability company doing business as Brownexus. By creating an account, accessing a workspace, starting a trial, accepting an invitation, or using Brownexus, you agree to these Terms.

Eligibility and account registration

You must provide accurate account information and keep it current. You are responsible for account security, passwords, authorized users, and activity under your account or Business workspace.

Plans, subscriptions, trials, and promotions

Brownexus offers Basic, Small Business, and Business self-service plans, plus an Enterprise plan available by contacting sales. Basic is $59.99/month or $599/year (single user). Small Business is $129.99/month or $1,299/year and includes 5 total users, with additional monthly users billed at $6/user/month beyond that. Business is $299.99/month or $2,999/year and includes 10 total users, with additional monthly users billed at $3/user/month beyond that. Annual-plan additional-user pricing is not yet defined and is not billed. All self-service plans include a 30-day trial. Prices shown do not include applicable taxes.

Trials, promotional discounts, courtesy access, and billing rules are applied only when configured by Brownexus and validated by Brownexus or Stripe. Brownexus requires a valid payment method before activating a standard trial; an authorized no-card courtesy promotion, where granted, may waive that requirement.

Payments, renewal, failed payments, and cancellation

Payments are processed by Stripe. Brownexus does not store full card numbers or CVV. Subscriptions renew automatically unless canceled. Cancellation normally takes effect at the end of the paid period, so access may continue until that period ends.

If payment fails, Brownexus may show a payment issue, allow a grace period, restrict product access after expiration, and permit billing access so the account can be reactivated. Nonpayment does not automatically delete customer data.

Acceptable use

You may not misuse Brownexus, attempt unauthorized access, interfere with the service, upload unlawful or harmful content, reverse engineer the service, or use Brownexus to violate laws or third-party rights.

Customer data and intellectual property

You retain ownership of your customer data. Brownexus and its licensors retain rights in the Brownexus platform, software, interface, documentation, branding, and Brownie AI experience. You grant Brownexus the rights needed to host, process, secure, support, and provide the service.

Brownie AI, readiness, and security advisory limitations

Brownie AI can explain concepts, help identify possible risks and control gaps, suggest documentation, and recommend next steps. Meaningful changes in Brownexus require your review and confirmation - Brownie does not act unilaterally. Brownie can make mistakes and does not replace professional judgment.

Brownexus organizes readiness against frameworks such as ISO/IEC 27001, SOC 2, and NIST CSF for your own reference. Brownexus does NOT provide legal advice, does not issue SOC 2 reports or audit opinions, does not certify ISO/IEC 27001 or any other framework, and does not replace an independent auditor or certification body. Readiness status shown in the product reflects Brownexus's own deterministic evaluation of mapped controls and evidence - it is not a certification and is not a guarantee of compliance.

Service changes, third-party services, and disclaimers

Brownexus relies on service providers such as hosting, authentication, payment, email, analytics, and AI providers where configured. Features may change over time. The service is provided without warranties except where legally required.

Liability, suspension, termination, and governing law

To the maximum extent allowed by law, Brownexus limits liability for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages. You agree to indemnify Brownexus for claims arising from misuse, unlawful content, or breach of these Terms where legally appropriate.

Brownexus may suspend or terminate access for security risk, nonpayment after applicable periods, misuse, or legal compliance. These Terms are governed by the laws of Tennessee, United States, without regard to conflict-of-law rules.
